1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of all services, features, content, and applications offered by Social Boost Lab ("Company", "we", "us", or "our"), a digital marketing service operated by Cipher Knights Ltd, registered in Nigeria. By accessing, browsing, or using our platform, website, or services (collectively, the "Services"), you ("User", "you", or "your") acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety, including any future modifications.

2. Account Terms and Eligibility

2.1 Eligibility Requirements

To access or use our Services, you must:

• Be at least 13 years of age (or the minimum legal age in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from receiving our Services under applicable laws
• Not be a competitor of Social Boost Lab or using our Services for competitive analysis

2. Maintain and promptly update your account information
3. Maintain the security of your password and accept all risks of unauthorized access
4. Notify us immediately if you discover or suspect any security breaches

2.3 Account Termination

We reserve the absolute right to:

• Refuse service to anyone for any reason at any time
• Suspend or terminate accounts that violate these Terms
• Remove or edit content in our sole discretion
• Limit or prohibit activities that may harm our users, partners, or Services

3. Service Terms and Limitations

3.1 Service Nature

Social Boost Lab provides digital marketing enhancement services designed to improve social media presence. You acknowledge and agree that:

• We do not control social media platforms or their policies
• Platforms may change their algorithms, terms, or enforcement actions without notice
• We cannot guarantee specific outcomes or prevent account penalties imposed by platforms
• All estimated delivery times are approximations only

3.2 Prohibited Content

You may not use our Services for content that:

• Violates any law, regulation, or third-party rights
• Contains hate speech, harassment, or threats
• Promotes violence, illegal activities, or self-harm
• Contains adult content, nudity, or sexually explicit material
• Involves fraudulent, deceptive, or misleading practices

3.3 Service Modifications

We reserve the right to:

1. Modify or discontinue any Service at any time without notice
2. Change pricing, service parameters, or delivery methods
3. Limit quantities or refuse orders in our sole discretion
4. Implement usage limits or restrictions

4. Payment Terms and Billing

4.1 Pricing and Fees

All prices are:

• Quoted in the currency displayed on our platform
• Subject to change without notice
• Exclusive of any taxes, which will be added where applicable

4.2 Payment Methods

You authorize us to charge the selected payment method for all amounts due.

Unauthorized payment disputes will result in:

2. Permanent ban from our Services
3. Legal action to recover funds plus a ₦500,000 penalty fee
4. Reversal of any delivered services where possible

5. Limitation of Liability

5.1 Scope of Liability

We specifically disclaim liability for:

• Any loss of data, followers, likes, or other metrics
• Account suspensions or content removal by platforms
• Business losses, lost profits, or reputational damage
• Errors, interruptions, or delays in Service delivery
• Actions of third parties, including social media platforms

5.2 Maximum Liability

Our total aggregate liability for any claims shall not exceed the amount you paid to us in the six (6) months preceding the claim.

6. Indemnification

You agree to defend, indemnify, and hold harmless Social Boost Lab, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with:

• Your access to or use of our Services
• Your violation of these Terms
• Your infringement of any third-party right
• Any unauthorized use of your account
• Your violation of any applicable laws or regulations

7. Governing Law and Dispute Resolution

7.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.

7.2 Dispute Resolution

Any disputes shall be resolved as follows:

1. First through good faith negotiations between the parties
2. If unresolved, through binding arbitration in Lagos, Nigeria
3. The arbitration shall be conducted in English
4. Each party shall bear its own arbitration costs

7.3 Class Action Waiver

You waive any right to participate in class actions or class arbitrations. All claims must be brought individually.

8. General Provisions

8.1 Entire Agreement

These Terms constitute the entire agreement between you and Social Boost Lab regarding our Services, superseding any prior agreements.

8.2 Amendments

We may modify these Terms at any time. Continued use after changes constitutes acceptance.

8.3 Severability

If any provision is found invalid, the remaining provisions remain in full force.

8.4 Force Majeure

We shall not be liable for failures due to circumstances beyond our reasonable control including natural disasters, war, or platform changes.

8.5 No Waiver

Our failure to enforce any right does not constitute a waiver of that right.

8.6 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
